Terms & Conditions
The terms you agree to when you accept a quote, pay an invoice, or start a plan.
These Terms and Conditions govern the relationship between Silver Fox Web Designs, a sole proprietorship (“I,” “me,” or “my”), located in Kuna, Idaho, and the Client (“You” or “Client”). By engaging Silver Fox Web Designs for any service, accepting a quote (including electronic signature), or making payment on an invoice, the Client agrees to these terms in full. Where a signed project agreement or written quote specifies different terms, those terms take precedence. These Terms supersede any prior agreements, whether oral or written.

I work remotely and maintain constant, direct communication with active clients throughout every project, phone, text, or email, whichever the Client prefers. I am one message away during business hours; replies typically arrive within hours and within one business day at the outside.
1. Ownership of Work
Silver Fox Web Designs retains full ownership of all work product, including code, design files, and associated assets, until final payment is received in full. Upon receipt of final payment, complete ownership of all deliverables transfers to the Client, including the codebase, content, and domain rights. No site will be launched, transferred, or delivered until the account balance is paid in full.
2. Contracts and Project Scope
A project contract is in place from project start through launch. This contract defines the agreed scope of work, timeline, and pricing. There are no forced renewals, long-term lock-ins, or ongoing contractual obligations after launch. The maintenance plan is entirely optional. Month to month, it can be cancelled at any time, for free, with cancellation taking effect at the end of the month already paid for. On a committed term the Client may still leave early, keeping the discount earned for the time completed and giving back only the unearned part of the commitment discount, never a penalty and never more than the standard month-to-month rate for the time used; see Section 7. Managed hosting under Section 17 is likewise entirely optional and is billed month to month with no committed term at all; it can be cancelled at any time, for free, and the exit arrangements, including the free export and the fact that there is no exit fee, are set out in Section 17. Formal quotes are valid for ninety (90) days from issuance.
3. Payment Terms
Unless a specific project quote states otherwise, the Client chooses one of two ways to pay when the project is accepted. Both are available on every project, whatever its size.
- Pay in Full Up Front: The full project total is due before active work begins, and the Client receives a 10% discount on the project total.
- Three Monthly Payments: The project total is divided into three equal payments. The first is charged on the date the project is accepted, and the remaining two are charged on the same day of each of the next two months. Where a month has no such date, that payment is charged on the last day of that month. There is no interest and no financing charge, and the three payments add up to the project total. This option requires a valid payment method on file, and by choosing it the Client authorizes Silver Fox Web Designs to charge that payment method automatically for the second and third payments without further notice.
- Estimates: Estimates and proposals are free. The Client approves a fixed scope and a fixed price before any work begins.
- Deposit Terms: All payments are non-refundable. When a project is approved and paid, that money reserves my time and pays for the work as it is done.
- Nonprofit, Veteran & Military Discount: A 20% discount on project pricing and on the maintenance plan is available for verified nonprofits, veterans, and active-duty military personnel. Discounts may not be combined; whichever single discount is greater applies. The pay-in-full incentive above is not a discount for this purpose. It is a reduction for paying the full project total up front, and it applies to the quoted price whatever standing discount is already reflected in it.
- Launch Requirement: No site will be launched, transferred, or made live until all outstanding amounts are paid in full.
Payment is due within seven (7) days of invoice date. Late payments may incur a 1.5% monthly service charge on overdue balances. Work may be paused if payment is overdue by more than 14 days. Accepted payment methods include credit card, PayPal, or check. Recurring maintenance subscriptions and card payments are processed securely through Stripe; Silver Fox Web Designs does not store full card numbers. A 3.33% processing fee is added to all credit card payments to offset payment processor fees.
If a Scheduled Payment Fails
If the second or third payment does not go through, it is retried automatically over several days and I notify the Client. If it is still unpaid ten (10) days after that notice, the entire remaining balance on the project becomes due immediately and work on the project stops until the account is current.
Because no site is launched, transferred, or delivered before the balance is paid in full, a project still in build simply stops where it is and resumes when the account is current. Where Silver Fox Web Designs is hosting an existing live site for the Client, that site may be suspended until the account is current.
This ten-day period replaces the fourteen-day pause described above for projects on the three-payment plan. The 1.5% monthly service charge on overdue balances still applies.
4. Pricing Structure
Most projects are priced at a fixed rate based on a clearly defined scope of work agreed upon before development begins. Development time that is not part of a fixed-scope project is sold as prepaid development hours in 5-hour packs, from $100/hr down to $75/hr as the pack size increases; see Section 7. After-hours emergency work (outside Monday through Friday business hours, on weekends, or on federal holidays) is billed at $150/hr with a 1-hour minimum and 30-minute increments thereafter. The maintenance plan is a single recurring plan at $149.99 per month, with lower monthly rates available on 6, 12, 24, and 36-month terms; see Section 7. Project pricing is flexible: the Client may state a realistic budget and I will scope to fit, subject to the Price-Beat Guarantee.
5. Rate Hold
The monthly rate the Client signs up at is the rate held for the full length of that term. If standard rates increase during a committed term, the Client continues paying the agreed rate for the remainder of the term. When a committed term ends, the plan continues month to month at the then-current standard monthly rate unless a new term is agreed; see Section 7.
6. Satisfaction Guarantee
Client satisfaction is guaranteed. If the Client is not satisfied with the final deliverable, Silver Fox Web Designs will provide additional time and effort at no additional cost (within reason and within the agreed project scope) until the Client is satisfied with the outcome. I also reserve the right, at no additional charge to the Client, to go beyond the agreed scope where doing so meaningfully improves the final result. No refunds are issued for completed work.
7. The Maintenance Plan, Prepaid Hours & After-Hours Support
At a glance. This is a recurring monthly charge. $149.99 per month month to month, or a lower monthly rate on a committed term. It bills automatically to the card on file each month and continues until the Client cancels. The Client can cancel at any time, free, online in the Client Portal in one step. On month to month, nothing further is owed beyond the month already paid for; leaving a committed term early is covered below. Full detail follows.
What the plan is
The maintenance plan is an ongoing service that keeps the Client’s existing website working, current, secure, and backed up, and gives the Client a person to call for everyday changes. It is a single recurring monthly service. There are no tiers. The Client chooses how to commit: month to month, or a 6, 12, 24, or 36-month term at a lower monthly rate.
What the plan covers
While the plan is active, the following is included at no extra charge and with no metering or counting of hours:
- Automated backups, where the Client holds their own hosting account. If Silver Fox Web Designs hosts the site under Section 17, backups come with that hosting instead and the plan does not charge for them. Backups belong to whoever holds the hosting account, so the Client never pays for them twice.
- WordPress core, theme, and plugin updates, taken backup-first so every change is reversible, and run through staging first where the update warrants it.
- Security scanning and monitoring.
- Uptime monitoring and alerts.
- Support for the site and fixes when something breaks.
- Edits and updates to the existing site: text, images, hours, prices, swapping content out, and other small changes. If it is about keeping the current site accurate and working, it is covered.
- A plain monthly report of what was done.
What is not included
New work is not part of the plan and is quoted on its own as a flat-fee project before any work begins, or drawn from prepaid development hours:
- New pages, new sections, or new features.
- A redesign or a new visual direction.
- Anything that adds to the site rather than maintaining what is already there.
I will always tell the Client when a request is new work and give a flat price first. The Client decides before there is any charge.
Price and billing
- Month to month: $149.99 per month.
- 6-month term: $142.49 per month (5% off).
- 12-month term: $134.99 per month (10% off).
- 24-month term: $119.99 per month (20% off).
- 36-month term: $104.99 per month (30% off).
The monthly rate is billed to the card on file at the start of each billing month through Stripe. This is a recurring charge that continues automatically each month until the plan is cancelled or a committed term ends. The rate the Client signs up at is the rate held for that term.
How a committed term works
On a 6, 12, 24, or 36-month term, the Client agrees to stay on the plan for that length in exchange for the lower monthly rate, and is billed monthly for the term. A committed term never renews into another committed term. When the term ends, the plan simply continues month to month at the standard monthly rate unless a new term is agreed, and the Client can cancel anytime from that point. Because the standard monthly rate is higher than any committed-term rate, the end of a term is a price increase, and it is treated as one. For every committed term, including a 6-month term, I will send a reminder 30 to 60 days before the term ends, and a separate written price notice 15 to 30 days before the new monthly rate first applies. That notice states the rate that is ending, the rate that is starting, the date it takes effect, and how to cancel. No new rate is ever charged to the card on file before that notice has gone out and the Client has had the chance to cancel.
Cancelling
The Client can cancel at any time, for free, online in the Client Portal, in one step, without calling or emailing first and without having to give a reason. Cancelling by email or by phone works too, but is never required. There is never a fee just to cancel. Cancellation takes effect at the end of the month already paid for, so the Client keeps the service through that month. Months are counted whole.
- Month to month: cancel anytime and the plan ends at the end of the current paid month. Nothing further is owed.
- Committed term, cancelled after it ends: same as month to month.
- Committed term, ended early: see the next subsection.
A retention offer at cancellation. When cancelling, the Client may be shown a one-time discount as an alternative to leaving. It is available for a limited period, and once it is taken, turned down, or that period passes, it is not offered again. It is always optional and it never affects the right to cancel. Cancelling remains one step, and declining the offer or letting it lapse changes nothing about that.
Leaving a committed term early (discount recapture)
The Client is never locked in with no way out, and is never charged the rest of the term. If a committed term is ended early, the months actually used are recalculated at the rate for the length actually stayed, and the Client pays the difference. The Client keeps the discount earned for the time completed and gives back only the extra discount that had been given for committing longer. The Client will never pay more than the standard month-to-month rate for the time they were on the plan.
Used months are re-rated to the longest committed term actually completed:
- Completed 24 to 35 months: re-rated at the 24-month rate ($119.99).
- Completed 12 to 23 months: re-rated at the 12-month rate ($134.99).
- Completed 6 to 11 months: re-rated at the 6-month rate ($142.49).
- Completed under 6 months: re-rated at the standard month-to-month rate ($149.99).
The difference between that re-rated amount and what was actually paid, across the months used, is what is due on leaving. It is the part of the commitment discount that had not yet been earned, and it reflects the actual value of the lower rate received in exchange for agreeing to the term.
Worked examples. A Client on the 36-month plan at $104.99 leaves after 6 months. Those 6 months re-rate to the 6-month plan at $142.49. Paid: $629.94. Re-rated: $854.94. Due on leaving: $225.00. A Client on the 36-month plan leaves after 30 months. Those months re-rate to the 24-month plan at $119.99. Paid: $3,149.70. Re-rated: $3,599.70. Due on leaving: $450.00.
Choosing any term below the month-to-month rate requires a valid payment method on file; the saved card is a condition of the term discount. The recapture is not charged to that card automatically. If a committed term is ended early, the cancellation takes effect straight away and the recapture is invoiced separately, on the standard payment terms in Section 3. The exact amount is shown before the Client confirms the cancellation, and again on the invoice.
If the Client holds a standing eligibility discount (verified nonprofit, veteran, or active-duty military), the early-exit re-rate is never higher than that eligibility rate, so an eligibility discount is never recaptured.
Prepaid development hours
Development time for work the plan does not cover is bought in advance in 5-hour packs. Hours sit as a balance that is good until used. They do not expire, do not reset monthly, and are not use-it-or-lose-it. The larger the pack, the lower the hourly rate:
- 5 hours: $500 ($100/hr).
- 10 hours: $950 ($95/hr).
- 15 hours: $1,350 ($90/hr).
- 20 hours: $1,700 ($85/hr).
- 25 hours: $2,000 ($80/hr).
- 30 hours: $2,250 ($75/hr).
Hours are drawn down as work is performed and are reported to the Client. Prepaid hours are non-refundable but never expire.
After-hours emergency support
$150/hr with a 1-hour minimum, billed in 30-minute increments after the first hour. This applies to work performed outside normal business hours, on weekends, or on federal holidays at the Client’s request. The Client decides whether a given issue warrants emergency handling; the rate is disclosed and confirmed before work begins.
If a payment fails
If a monthly charge does not go through, I will notify the Client and retry. If it stays unpaid after a short grace period, I may pause plan services (backups, updates, monitoring, and included edits) until payment is current. Pausing for non-payment does not end a committed term or waive amounts owed for it.
A recapture invoice never holds a cancellation open. The cancellation is final when the Client confirms it and the plan ends on schedule. The recapture invoice is then collected like any other invoice under Section 3, including the payment terms and late-payment terms there. An unpaid recapture invoice does not restart the plan, does not delay or reverse the cancellation, and does not waive the amount owed.
Self-serve subscriptions in the Client Portal
- Recurring Charge: The plan bills automatically each month at the agreed rate on the card on file until cancelled or until a committed term ends.
- No Automatic Long-Term Renewal: A committed term never renews into another committed term. At term end the plan continues month to month at the standard rate, with a 30 to 60 day advance reminder for every committed term and a separate price notice 15 to 30 days before the new rate first applies.
- Cancellation: A subscription may be cancelled at any time from the Client Portal, free of charge, online and in one step, without calling or emailing first. Cancellation takes effect at the end of the current paid month.
- Price Changes: Any change to a recurring rate is notified in writing 15 to 30 days before it takes effect, stating the current rate, the new rate, the date it applies, and how to cancel. No changed rate is charged to the card on file before that notice has gone out.
- Changing Terms: Moving to a longer term takes effect at the start of the next billing month at the lower rate. Ending a committed term early is handled under the discount-recapture terms above, and the recapture is invoiced rather than charged to the card on file.
- How Discounts Combine: The commitment-term discount and any standing eligibility discount (nonprofit, veteran, or active-duty military) are mutually exclusive. Only the single greater discount applies; where the two are equal, the eligibility discount applies. A one-time retention offer made at cancellation is not a standing discount and may apply on top of a commitment-term rate for the single cycle it covers.
- Non-Refundable: Maintenance fees and development time already rendered are non-refundable. Cancelling stops future charges but does not refund the current paid month.
- Card On File: A payment method is stored securely with Stripe to process recurring charges. The Client may update the card on file at any time in the Client Portal. Silver Fox Web Designs does not store full card numbers.
8. Price-Beat Guarantee
Silver Fox Web Designs guarantees to beat any legitimate competing quote by 10%. The guarantee applies to quoted project and service work of any type, whether or not Silver Fox Web Designs quoted the work first, and whether the Client obtained the competing quote before or after receiving a quote from Silver Fox Web Designs.
To qualify, the competing quote must:
- be a written, itemized quote for work of equivalent scope;
- come from a verifiable, US-based provider operating as an identifiable business;
- be dated within the previous ninety (90) days; and
- be credible for the scope described.
Verification. Silver Fox Web Designs reserves the right to verify any quote submitted, to request reasonable supporting information, and to decline any quote that cannot be verified or that is not credible for the scope described. A price that could not produce the work described will not be matched or beaten. This is a commitment to beat legitimate competing prices; it is not a commitment to match a figure that is not a real price for the work stated.
What it does not cover. The guarantee applies to quoted work. It does not apply to published flat-rate recurring products, including managed hosting under Section 17 and the monthly maintenance plan under Section 7, which are priced flat and published rather than quoted.
Discounts do not stack. Where the Price-Beat Guarantee and any other discount, including the nonprofit, veteran and active-duty military discount in Section 3, would both apply, only the single greater discount applies.
9. Project Process
All projects follow a structured five-stage process:
Project Planning (discovery, scope, and formal quote) → Design (mockups and client approval) → Development (WordPress build and content integration) → QA & Testing (browser/device testing, bug fixes, performance review) → Launch (client sign-off, DNS, go-live).
No stage begins without client approval of the previous stage. The Client must provide timely feedback and approvals at each stage. Feedback on completed work must be provided within fifteen (15) days or the work is considered accepted. Written approval is required before proceeding to the next stage. Throughout the project, the Client maintains constant, direct communication with me via phone, text, or email, there are no account managers, ticket queues, or scheduled-report cadences imposed.
Timelines: Every timeline given is an ETA, not a deadline. It assumes the Client’s content and approvals are ready and the project runs cleanly. Complex work or slow feedback can extend it. I give a realistic target and work toward it, delivering as soon as possible without cutting quality.
Browser Compatibility & Responsiveness: Websites are built with responsive design to function on modern devices. I test and support the latest stable versions of major browsers (Chrome, Firefox, Safari, Edge) as of launch date. I do not support outdated browsers or guarantee identical rendering after future browser updates.
10. Client Responsibilities
The Client agrees to:
- Provide timely feedback and approvals at each stage.
- Supply all required content, images, logos, and credentials promptly.
- Designate a single point of contact.
- Use approved communication channels (email, phone, text, Zoom/Google Meet). Phone conversations require written follow-up to be binding.
Delays caused by the Client may result in revised timelines and additional fees drawn from prepaid development hours.
Pages required for legal or regulatory purposes. Most sites need a privacy policy, terms and conditions, a cookie policy, or similar. Where those pages are in scope, Silver Fox Web Designs builds and formats them, and can prepare source material or a starting template for them. I do not write legal copy and I do not provide legal advice. The text of those pages is supplied by the Client or approved by the Client’s own counsel before publication, and Silver Fox Web Designs accepts no responsibility for the adequacy, accuracy, or legal sufficiency of that content, or for the Client’s compliance with any law or regulation applying to their business. If the Client has no such text, I will say so before launch rather than let the site go live implying a policy exists when it does not.
11. Revisions and Scope Changes
Each project includes 1 base design plus up to 3 revision rounds before development begins. Revisions beyond the agreed scope or additional changes requested during design or development are billable as prepaid development hours, from $75/hr, with the Client’s prior written approval. Significant scope changes after project commencement may require a revised written proposal and an additional payment. I may, at my discretion and at no additional charge, deliver work beyond the strict scope where doing so meaningfully improves the final result for the Client.
12. Cancelling a Project in Progress
The Client can stop a project at any time. Because I set aside time for the Client’s work and perform real work as the project proceeds, the following is owed on cancellation, and it is capped so it stays fair to the Client.
If the Client cancels before the project is finished, then in addition to what has already been paid, the Client owes:
(the value of the work completed to date, minus what has already been paid) + a loss-of-opportunity fee of 25% of the value of the work not yet completed.
- The value of the work completed is measured by the actual work done and documented (deliverables, code, and hours), as a share of the agreed scope. The work not yet completed is the remainder of the agreed scope.
- The loss-of-opportunity fee is 25% of the value of that not-yet-completed work. It is a genuine pre-estimate of my actual loss, being the lost margin on the unfinished work and the cost of the gap left in a booked schedule.
- If what has already been paid is more than the value of the work completed, the excess is retained as a non-refundable payment and nothing further is owed.
- Once the balance owed is paid, I hand over the completed work and files. Until then, the work stays with me.
The Client is never charged the full remaining contract for work I did not do. The Client pays for the work completed plus the loss-of-opportunity fee, and nothing more.
Example. A $10,000 project on the three-payment plan, with the first payment of $3,333.34 paid at acceptance. The Client cancels when the work is 80% done, which is $8,000 of value. Work completed minus what was paid: $8,000 – $3,333.34 = $4,666.66. Loss-of-opportunity fee: 25% of the $2,000 of work not yet completed = $500. The Client pays $5,166.66 more, for $8,500 total, and the completed work is released. The Client is not charged the full remaining $6,666.66.
Refunds are issued only for unused and unworked billable time. No refunds for completed work or maintenance time already rendered.
13. Warranty
I provide a thirty (30) day post-launch warranty covering bugs or errors directly caused by my work. Issues covered under warranty will be fixed at no additional cost, provided no Client edits or third-party changes have occurred. Warranty does not cover Client edits, third-party plugin/theme updates, content changes, or new feature requests. It also does not cover faults at a hosting provider where the Client holds their own account. Where Silver Fox Web Designs hosts the site under Section 17, a hosting fault is mine to diagnose and resolve and is not excluded by this Section, whether or not the Client is on a maintenance plan. After the warranty period, all support requires an active maintenance plan or prepaid development hours. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” AND WITH ALL FAULTS, AND SILVER FOX WEB DESIGNS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY AND ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
14. Intellectual Property
Upon receipt of final payment, the Client owns all deliverables. Silver Fox Web Designs retains the right to display completed work in its portfolio unless the Client requests otherwise in writing. Third-party assets (stock images, premium plugins, licensed fonts) remain subject to their respective licenses. The Client is responsible for ensuring their provided content does not infringe third-party rights.
15. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives project termination.
16. Limitation of Liability
Silver Fox Web Designs warrants all work will be performed professionally and to industry standards. Total liability for any claim shall not exceed the total fees paid for the specific project in question. I am not liable for indirect, incidental, or consequential damages, or for issues arising from plugins, services, or hosting accounts held by the Client or by a third party and outside my direct control. Where Silver Fox Web Designs hosts the site under Section 17, that hosting is not a third-party service for the purposes of this Section and this exclusion does not apply to it; my responsibility for it is set out in Section 17 and remains subject to the liability cap above. Nothing in these Terms excludes or limits liability for fraud, gross negligence, or willful misconduct, or any other liability that cannot lawfully be excluded or limited.
17. Third-Party Services & Hosting
Many projects require third-party services including hosting, domain registration, premium plugins, and payment gateways. There are two different arrangements for hosting and they work differently, so both are set out here in full.
Hosting on an account the Client holds
Silver Fox Web Designs does not resell third-party hosting or apply markup to any third-party service. On this path the Client holds the account, pays that provider directly at the provider’s own price, and maintains ownership of and full transparency over their hosting and third-party accounts. I recommend SiteGround for most small-to-medium business WordPress sites based on genuine performance, reliability, and support quality. Referral disclosure: that link is a referral link. If the Client signs up through it, SiteGround pays Silver Fox Web Designs a referral fee. It does not change what the Client pays them, it is not why they are recommended, and a plain non-referral link is available on request. All costs for third-party services are the Client’s responsibility. Silver Fox Web Designs is not responsible for the uptime, performance, pricing changes, or policy changes of any third-party platform or service. The Client is responsible for maintaining their own backups after launch unless under an active maintenance plan with me.
Managed hosting provided by Silver Fox Web Designs
Managed hosting is Silver Fox Web Designs’ own service. It is not a resold or marked-up third-party plan, and no referral fee or commission is involved in it. It runs on a hosting account held by Silver Fox Web Designs. On managed hosting the hosting account is mine, not the Client’s, and that is the one respect in which this path differs from the other. It does not change what the Client owns: read alongside Section 1, the Client’s site files, database, content, and code remain the Client’s property, and the domain stays registered in the Client’s name. The account the site sits on does not transfer, and never did.
At a glance. This is a recurring monthly charge. $24.99 per month for one site slot, or $49.99 per month for two. It bills automatically to the card on file each month and continues until the Client cancels. There is no committed term and no minimum period. The Client can cancel at any time, free, online in the Client Portal in one step, with no exit fee and nothing owed beyond the month already paid for. Full detail follows.
Price and billing. Managed hosting is $24.99 per month for one site slot, or $49.99 per month for two, billed to the card on file through Stripe. This is a recurring charge that continues automatically each month until it is cancelled. There is no committed term, no minimum period, and no long-term lock-in. Above two slots there is no managed tier: the Client moves to a dedicated account, cloud hosting, or hosting of their own, and I will say so rather than sell a plan that does not fit.
Changing the price. If the monthly price for managed hosting changes, I will give written notice 15 to 30 days before the new price first applies, stating the current price, the new price, the date it takes effect, and how to cancel. No changed price is ever charged to the card on file before that notice has gone out and the Client has had the chance to cancel.
Allowances. One slot is priced and reviewed against an allowance of 5 GB of storage and 25,000 monthly visits; two slots against 10 GB and 50,000 monthly visits. These allowances are the basis on which the plan is priced and reviewed. They are not a cap enforced by the platform. Nothing is throttled, suspended, or charged automatically for exceeding them. Usage is measured monthly, not continuously. If usage sits above the allowance for two consecutive months, I will raise it with the Client and recommend an option, and nothing further is ever charged without the Client agreeing to it first.
Backups. On managed hosting, backups come with the hosting: a daily copy retained for thirty (30) days, for as long as the site is on my hosting. They are a feature of the hosting and not of the maintenance plan, and the maintenance plan does not charge for them (see Section 7). Backups held in my account are removed together with the site when the arrangement ends, as set out below, so they are not a long-term archive the Client can reach back into after leaving.
Leaving managed hosting. The Client may cancel at any time, for free, online in the Client Portal, in one step, without calling or emailing first and without having to give a reason. Cancelling by email works too, but is never required. There is no exit fee. Billing stops at the end of the month already paid for. The site stays up for a further thirty (30) days. A complete export of the Client’s files and database is provided free of charge, in every case, with no conditions attached. If the Client would like Silver Fox Web Designs to migrate the site onto their new host and configure it there, that is optional work at a flat $199 for a standard WordPress destination, with an unusual destination quoted separately. That is a price for work performed if the Client asks for it, not a charge for leaving. After the thirty days, the site and its backups are removed from the Silver Fox Web Designs account.
Uptime. Managed hosting runs on infrastructure operated by an upstream provider. I do not guarantee uninterrupted availability and give no uptime warranty. What I do undertake is that a fault on my hosting account is mine to diagnose and resolve, and the Client will not be referred to a third party for it.
18. Force Majeure
Neither party shall be liable for any delay or failure in performance due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, strikes, or governmental actions.
19. Governing Law
These Terms and Conditions are governed by the laws of the State of Idaho. I will always try to resolve any disagreement directly and fairly first. If it cannot be resolved, either party may bring the matter in the appropriate Idaho court, including Idaho small claims court where it applies. Disputes arising from these terms or project agreements are brought in Idaho, and in Ada County where venue is open to agreement. Where Idaho law fixes venue, Idaho law controls and this agreement does not change it. A small claims case is the clearest example: it is filed in the county where the defendant lives or where the claim arose.
20. Entire Agreement
These Terms and Conditions, together with any signed project proposal or written agreement, constitute the entire agreement between the parties and supersede all prior discussions and representations. Amendments must be made in writing and agreed upon by both parties.
